CONSTITUTIONAL RULES

1. The club is a friendly angling society to be known as Intertype Angling Society and hereinafter be referred to as the ‘Club’.

2. The object of the Club is to encourage fair angling and provide the facilities of an angling club for its members and to acquire such fishing rights to waters that the Club feels the members would appreciate.

3. The Club is a not-for-profit organisation. All profits and purchases will be used to maintain or improve the Club’s facilities for the benefit of the members of the Club.

4. There shall be three Trustees for the Club who shall nominally be the persons occupying the positions of Chairman, Treasurer, and Secretary, but can be changed by resolution of the Committee. Trustees shall hold office until the following AGM when their duties are handed to over to the new appointees to these positions or until removed by resolution of the Committee.

5. All properties of the Society including fishing leases shall be vested in the Trustees and their successors to be dealt with by them as the Committee shall direct by resolution.

6. The Trustees and any other member of the Committee so authorised shall not incur any personal liability for any duties properly carried out on behalf of the Club and shall be indemnified out of the assets of the Club against any risk and expense incurred by them in pursuance of their office. The Club should acquire an insurance policy to protect the interests of the Club and it’s members.

7. A Chairman, Secretary, and Treasurer shall be elected annually at the AGM of the Club after being proposed and seconded and indicating their consent and shall be ex-officio members of the Committee. Nominees for these positions should ideally have served at least seven years on the Committee unless no nominee so qualified can be proposed whereupon any member of good standing and that has served on the Committee may be nominated for election.

8. The Club shall be managed by the Committee to be elected annually at the AGM. Any member wishing to be considered for a position on the Committee must have been a member of the club for at least four years and must be proposed and seconded by other members in writing prior to an AGM, both of whom must also be in attendance.

However, the Committee has the right to co- opt two further members to vacant positions on the committee pro-tem.

9. The Committee shall be the sole authority for the interpretation of the Club’s rules and their decisions shall be final and binding upon the members. Any matters arising which are not covered by the rules shall be the responsibility of the Committee and their findings to be final.

CLUB RULES

10. Committee meetings will be held at regular times to arrange the business of the Club. The quorum at any such meeting shall be at least 50% of the Committee members. Each member at any meeting shall be entitled to one vote barring the Chairman who shall only exercise a casting vote in the event of a tie. Motions shall be passed on a simple majority except where otherwise specified in these Rules.

11. At any meeting the Chairman, or any other member elected by the meeting at the time, will conduct the order of business according to the Agenda posted.

12. Accidental omission to give notice to or non-receipt of such notice by a member shall not invalidate any of the proceedings of the meeting.

13. Any member who wishes to raise a question with the Committee must first write to a Committee member or the Secretary who will then raise that question at the next Committee meeting.

14. An Annual General Meeting of the Society shall be held annually. Notice of the AGM will be sent to all members and a statement and copies of the Club’s accounts will be made available at the AGM. The quorum at an AGM shall be not less than 25 of the current membership.

15. Any proposed alterations to the Club’s Constitutional or General Rules may only be considered at an Annual or Special General Meeting convened with the required written notice of the proposal. Any alteration or amendment must be proposed by a Full Member of the Club and seconded by another Full Member. Such alterations shall be passed if supported by not less than two- thirds of those Members present.

16. If any member wishes any matter to be raised and placed on the agenda for the AGM then details should be submitted to the Secretary at least 21 days before the meeting and signed by the proposer and seconder both of whom should attend the AGM to explain those proposals.

17. All accounts and Minutes of meetings will be kept in suitable books. The Year End for the accounts shall be 28th February each year. Once accepted as a true and correct record at a subsequent meeting the accounts and minutes can
be filed.

18. The subscription fees for all members for a Season will be decided annually by the Committee and their decision will be final. A Season being from the 1st of April in one year until the 31st March of the following year. 19. The membership of the Club is kept on a computer – just the name, telephone number, postal, and email addresses of each member. We are advised however that to comply with the General Data Protection Regulation the membership must be informed of our computerised membership list in case
